On April 30, 2002 A&A Manufacturing Co. Inc. purchased the stock of Milwaukee Protective Covers Inc.

A&A and MPC manufacture protective covers for moving parts on many different types of machinery. A&A sells its products under the Gortite trade name. MPC markets its bellows products under the Thermic-Weld trade name. In addition to protective covers, A&A has a full line of cable and hose carrier products, marketed under the Gortrac trade name.

A&A has three plants in Wisconsin, two in New Berlin and one in Three Lakes. A&A's Gortrac product line is manufactured in Valparaiso, Indiana. MPC's Milwaukee based manufacturing operations will be moved to the New Berlin Industrial Park.

Jim O'Rourke, President of A&A said, "By combining our personnel, technology and sales volume, we will expand our product offering and enhance our problem solving abilities. This will be a benefit for anyone doing business with A&A or MPC."

Dan Eder, President of MPC, will continue to work for the Company throughout May to ease the transition.

Cleary Gull acted as advisor for MPC and Godfrey & Kahn assisted A&A in the transaction.
